Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VizzitMD website at vizzitmd.com (the "Site") and the VizzitMD CRM and EHR software (the "Service"), each provided by Heliora Technologies, Inc. ("VizzitMD", "we", "us", or "our"). By accessing the Site or using the Service, you agree to these Terms. If you do not agree, do not use the Site or the Service.

Where a signed agreement exists. Use of the Service by a practice is also governed by the written subscription or master services agreement and the Business Associate Agreement (BAA) signed between VizzitMD and that practice. If any conflict exists, that signed agreement controls over these Terms for the subject matter it covers.

1. Who may use VizzitMD

The Site and Service are intended for healthcare practices, clinicians, and their authorized staff in the United States. You must be at least 18 years old and have the authority to accept these Terms on behalf of yourself and any organization you represent. You are responsible for ensuring that everyone who uses the Service under your account complies with these Terms.

2. Accounts and access

Access to the Service requires an account. You are responsible for keeping your credentials confidential, for all activity under your account, and for promptly notifying us of any unauthorized use. We may suspend or restrict access where we reasonably believe it is necessary to protect the Service, other customers, or patient data.

3. Fees and plans

VizzitMD is offered on subscription plans (Solo, Practice, and Enterprise) priced per provider and quoted based on the number of providers and sites. Fees, billing frequency, and any applicable terms are set out in the order or agreement you enter into with us. Unless that agreement states otherwise, fees are non-refundable and exclude applicable taxes.

4. Acceptable use

You agree not to:

use the Site or Service in violation of any law or regulation, including HIPAA;
access or attempt to access another practice's or user's data;
interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its infrastructure;
reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law; or
upload malicious code or use the Service to store or transmit unlawful content.

5. Customer data, PHI, and HIPAA

As between you and VizzitMD, you own the data you and your users enter into the Service, including patient records. When your practice uses the Service, VizzitMD acts as a Business Associate under HIPAA, and our handling of Protected Health Information (PHI) is governed by the signed Business Associate Agreement (BAA) between us. You are responsible for the accuracy and lawfulness of the data you enter and for having the authority and any consents needed to enter it. A signed BAA is available with every plan; to request one, contact the VizzitMD team. Our collection of website and business-contact information is described in our Privacy Policy.

6. Third-party services and integrations

The Service may interoperate with third-party services you choose to connect — for example, a clearinghouse, a CRM such as HubSpot, mapping and geolocation providers, or an e-prescribing or drug-reference source. Your use of those services is subject to their own terms and privacy policies, and VizzitMD is not responsible for third-party services or for data you direct us to exchange with them. We may rely on third-party providers to deliver parts of the Service.

7. Intellectual property

The Site, the Service, and all related software, content, and trademarks (including the VizzitMD name and logo) are owned by Heliora Technologies, Inc. or its licensors and are protected by intellectual-property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your practice's internal purposes. All rights not expressly granted are reserved.

8. No medical advice; provider responsibility

VizzitMD is a software tool that supports documentation, scheduling, ordering, and billing workflows. It does not practice medicine and does not provide medical, clinical, legal, coding, or billing advice. Clinical decisions, the accuracy and appropriateness of diagnoses, orders, prescriptions, and billing codes, and compliance with all applicable laws and payer rules remain the sole responsibility of the licensed provider and practice. Reference data, code suggestions, and eligibility results are provided to assist — not replace — professional judgment, and you are responsible for verifying them before acting.

9. Disclaimers

Except as expressly stated in a signed agreement, the Site and Service are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement.

10. Limitation of liability

To the maximum extent permitted by law, VizzitMD and Heliora Technologies, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the Site or Service. Except where a signed agreement states otherwise, our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless VizzitMD and Heliora Technologies, Inc. from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your breach of these Terms or of applicable law, except to the extent caused by our own breach.

12. Term and termination

These Terms apply while you use the Site or Service. We may suspend or terminate access for breach of these Terms or where required to protect the Service or patient data. Termination of a subscription is governed by your signed agreement. On termination, provisions that by their nature should survive — including data ownership, disclaimers, limitations of liability, and indemnification — will survive. Return or deletion of PHI on termination is handled as set out in the BAA.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction and venue.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If you continue to use the Site or Service after changes take effect, you accept the updated Terms.
